1. General

  1. Our site is www.designature.studio (therefore we, us, or our).
  2. This page and any documents referred to in it, governs the terms of use under which you may make use of our services and website www.designature.studio (collectively referred to as the Site).
  3. We deliver online interior design services which includes floor plan design, mood board, shopping list, 3d design, 3d walkthrough, detailed instructions, electrical plan, and custom drawings, (collectively referred to as the Services).
  4. The term You refers to the person or organization accessing, using or relying upon the Site.
  5. By using, browsing, or accessing the Site, you indicate that you have read, understood, and accepted these terms of use, along with our Privacy Policy, and agree to abide by them.
  6. We encourage you to:
    a. read these terms of use (Terms) before you start to use the Site; and
    b. contact us by email at [email protected] if you have any particular question in relation to the use of the Site.
  7. If you do not agree to these Terms, you should not access or otherwise use the Site and the Services offered on, or via, the Site.
  8. We may vary the Terms at any time, which will be effective immediately upon posting to the Site. You should regularly check the Terms for updates. Using the Site after the updated Terms are posted to the Site constitutes your acceptance of the updated Terms.
  9. By accessing or using the Services, you represent that you are at least eighteen (18) years of age.

2. Orders, User Account, and Payment

  1. You do not need to register or login to the Site to view the content and information on the Site.
  2. If you decide to place an order and use our Services, you agree to provide us with accurate, complete, and current information about yourself.
  3. To place an order on the Site, you will be asked to fill in a form with valid information. After the order is placed, we will contact you within 2 business days through your preferred communication method to confirm all the details, ensure that everything is accurate and valid.
  4. We will set up the first “Discovery Call” and go over each detail of the project. We reserve right to record the meeting in order to deliver high quality Services.
  5. After the call, we will create an account for you (Account) and send you an email with all the project details (the confirmed information and the scope of work), a checkout link for payment, and a temporary password for entering your Account. As soon as the payment is processed, we will send you an invoice and start working on your project.
  6. After logging in to your Account with the provided password, you may change the password.
  7. Your Account will be operated by an email address and password.
  8. You may change or reset your Password by selecting the ‘Lost Your Password?’ link in the login process.
  9. In your Account you will be able to see all the orders made with that email.

3. Process Flow and Restrictions

  1. The first step of Designature and Client relationship will start from the contact form. Please fill in the room and house contact form or the custom project form to start the communication. This step is needed to get familiar with your project and see if we are an appropriate fit for your design. In case we feel like we won’t be a good fit (maybe because the project demands real construction work or else) we will be honest and talk about that.
  2. Please note that there won’t be any charges after filling out the forms. Furthermore, if after our initial meeting/conversation you decide not to proceed with the project, you have the right to cancel without any payment required.
  3. If you select multiple rooms, the rooms that are selected must be from the same house. If you wish to design your living room and let’s say your mother’s bedroom you need to create two different projects.
  4. After receiving your demand, we’ll get in touch within two business days via email or any communication method that you selected and fix a conference call/meeting at your convenience.
  5. During this call, we’ll tackle every detail about your project, confirm all the project information, ensure that everything is accurate and valid. So, we can be sure we are on the same page. We’ll also discuss your budget. We’ll help you set one if you really don’t have an idea. Then we’ll establish a rough time frame of what you can expect to get when.
  6. After the call we’ll create you an account (Account) and send you a follow-up email with all the project details (the confirmed information and the scope of work), a checkout link for the payment, and a temporary password for entering your Account.
  7. As soon as the payment is processed, we’ll send you an invoice and get started on your project.
  8. Our designers will provide you with two unique design concepts, each with a different floor plan. Along with each concept, we will create two mood boards that include color schemes and furniture options within your budget (please note that the budget can deviate a little in the final shopping list). You’ll receive the initial package to review and provide feedback on which direction you prefer. If necessary, we offer two additional revisions, giving you the flexibility to mix and match the mood board items until you’re completely satisfied with the final design.
  9. You must approve or request changes for the moodboard within 7 days after receiving it.
  10. If the project is within the minimum package scope and the moodboard is not approved within the specified time frame, we reserve the right to self-approve any of the moodboards that we find appropriate. After that, we will send you the shopping list and close the project. We believe that this policy is necessary to ensure that projects are completed within the agreed-upon timeframe and that our team can move on to other projects promptly.
  11. If the project includes additional features such as the 3D design, we will put the project on hold until you approve the moodboard. Once the moodboard is approved, we will make every effort to prioritize your project’s next steps. However, please note that Designature has many clients, and resuming your project may require some time and resources. As a result, we reserve the right to take the necessary time to finish your project’s next phase.
  12. Once the moodboard is approved, we will provide you with a comprehensive shopping list. Additionally, we will include two alternative options for each furniture item to ensure that if any of the items run out of stock, you can easily find similar ones with comparable prices.
  13. If your favorite items ran out of stock within 10 business days after you approved the moodboard, we are obliged to find you an alternative option.
  14. No customer will receive a render without clearly approving a mood board. If the designer is unclear, they will double-check.
  15. Designers are happy to add in furniture the customer supplies on their own, either that they already have, found on their own and bought, or found on their own and want to buy, provided that the mood board hasn’t been approved yet. After the mood board has been approved and the render creation stage begins, it can no longer have customer-added items.
  16. Once the shopping list is finalized, our designers will create a 3D design of the space and any other additional features if requested. The 3D design will show the layout, color scheme, furniture placement, and decor elements. We will provide you with multiple angles.
  17. If you are not satisfied with the 3D design, you may request one revision within 7 days of receiving the initial design. After the revisions are complete, we will send you the final 3D design.
  18. Any additional features added to the project must be approved within 7 days of submission.
  19. If your project includes additional features like an electrical plan or custom drawings, those will be created before the 3D design stage.
  20. The materials and files will be delivered based on our best efforts.
  21. Our services include a 30-day post-purchase support period during which you may ask for any clarifications or additional help related to your project.
  22. Please note that we do not provide any construction services, and our designs are intended for informational purposes only. We are not responsible for any damages, losses, or injuries resulting from the implementation of our design.

4. Your Obligations

  1. Provide written approvals and instructions promptly.
  2. Provide any other materials (like photos or inspirational pictures) or information required for us to perform the Services.
  3. You acknowledge and agree that:
    a. You need to provide with us the floorplan of the apartment, house, or the space you need to design.
    b. You have to provide all the photos, dimensions, and relevant information needed by our designers.
    c. we will provide you with a mood board and a shopping list of goods to purchase;
    d. revisions to the mood board are capped at 3 rounds;
    e. if you fail to provide a substantive response within 7 days of delivery by us of the mood board, then the mood board is deemed to be approved by you;
    f. any delays in the performance of your obligations, or variations to the Services caused by you, may delay performance of the Services and any such delay caused or contributed by you shall not constitute a breach of these Terms by us;
    g. all intellectual property rights created or developed by us in connection with the ‘e-designer’ Services vest in us upon creation.
    h. our ability to perform the Services is contingent upon the prompt performance of your obligations.
  4. By submitting any ideas, feedback, or suggestions (“Feedback”) to us through the Services or other means, you acknowledge and agree that:
    a. your Feedback does not contain confidential or proprietary information of you or any third party;
    b. we are not under any obligations of confidentiality with respect to the Feedback.
    c. we may freely use, reproduce, distribute, and otherwise exploit the Feedback for any purpose; and
    d. you are not entitled to any compensation of any kind from us.

5. Miscellaneous

  1. Each client is entitled to one free consultation.
  2. We reserve the right to refuse multiple requests for free consultations from the same client.
  3. We do not currently purchase goods on behalf of clients from their shopping lists.

6. Geographical Location

  1. Although we are mainly focused on US area, but the Services are not limited to it. You can still order outside the US. When ordering outside of the US after the discovery call our designers will create a list of retail shops that can be used during the project. We will confirm it with You and use it to create the shopping list.

7. User Contributions

  1. You also may provide photographs, images, information, product reviews, opinions or tips, all of which may be published or displayed (hereinafter, “posted”) in public areas of the Services or transmitted to other users of the Services or third parties, including, for example, third party websites and services like social media that are integrated into or linked to the Services (collectively, “User Contributions”).
  2. Your User Contributions are posted on and transmitted to others at your own risk. We cannot control the actions of other users of the Services or third parties with whom you may choose to share your User Contributions. Such third parties may have their own policies and terms that apply to your User Contributions, and we are not responsible for any third party’s policies or terms. We cannot and do not guarantee that unauthorized persons will not view your User Contributions.
  3. You acknowledge, represent, and agree that all User Contributions that you post are submitted voluntarily and that if you submit a User Contribution to any area of the Services that is available to others, Designature does not control and is not responsible for the use of your User Contribution by others.
  4. If you elect to submit, provide, or make available your User Contribution to Designature or the Services, you:
    a. grant to us a worldwide, royalty-free, transferrable, sublicensable, non-exclusive, perpetual, irrevocable license under all of your intellectual property rights to make, use, copy, modify, adapt, create derivative works of, publicly perform or display, import, broadcast, transmit, distribute, license, publish, translate, offer to sell and sell, rent, lease or lend copies of your User Contribution (and derivative works thereof) in any form or medium (whether now known or later developed), without credit or compensation to you, and in Designature’s sole discretion, to publish your name and other information about you in connection with your User Contribution; and
    b. acknowledge that you receive no licenses to the Services except as expressly provided in these Terms. Designature is under no obligation to allow you to post your User Contribution or any other User Contribution on the Services and may, in its discretion, use automated or other means to edit, block, refuse to post, or remove any User Contribution (including your User Contribution) at any time. You represent and warrant that you have the rights necessary to grant the rights in this Section and that your User Contribution does not infringe the rights of Designature or any third party or violate these Terms or any applicable law. If we suspect violations of the foregoing, we may institute legal action and cooperate with law enforcement authorities in bringing legal proceedings against violators. You are solely responsible for your User Contribution and any other User Contribution you provide to us or make available through the Services. You are responsible for backing up your User Contribution and information that you upload to the Services.

8. Permitted Use

  1. All information, materials, and other content available through the Services (collectively, the “Content”) is the sole and exclusive property of Designature. Subject to your compliance with these Terms, we grant to you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services, and to access, use, view, and print any Content, solely for your personal and internal business purposes. Except for the limited rights set forth in this Section, you may not download, copy, duplicate, sell, print, rent, lease, issue, distribute, transmit, broadcast, modify, perform, display, transfer, upload, post, create derivative works of, exploit, sublicense or otherwise assign to any third party the Services or Content. All rights are reserved. The Services and Content may contain certain licensed materials, and our licensors may protect their rights in the event of any violation of these Terms.
  2. All trademarks, service marks, logos, trade names, and any other proprietary designations of Designature used herein are trademarks or registered trademarks of Designature, our affiliates, or our suppliers. You may not use any of our trademarks, logos, or trade dress in connection with any product or service that is not owned or provided by us, in manner that is likely to cause confusion among customers or users, or in any manner that disparages us or our suppliers.
  3. When using the Services, you must not:
    a. Remove any proprietary notices on the Services or Content, or attempt to disable, bypass, modify, defeat, or otherwise circumvent any digital rights management or security system used as part of the Services or Content;
    b. Infringe or misappropriate the intellectual property, proprietary or privacy rights of any third party;
    c. Make any use of the Services or Content that violates any applicable local, state, national, international or foreign law;
    d. Provide any content, data or information to Designature that contains viruses or malicious code or is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy or right of publicity, hateful, or racially, ethnically or otherwise objectionable;
    e. Fail to use commercially reasonable efforts to prevent the unauthorized license, access, sale, transfer, lease, transmission, distribution or other disclosure of the Services or Content;
    f. Allow any individual to use any account log-in credentials (e.g., user identification(s), code(s), password(s), procedure(s) or user keys) issued to, or selected by, Designature for someone other than the individual identified in the account information;
    g. Upload to the Services the personal information of others that you are not authorized to provide;
    h. Use the Services or Content to develop applications, Services, websites, or any other functionalities that leverage the Services or Content;
    i. Communicate the Content to the public, provide or make available any links, hypertext (Universal Resource Locator (URL) address) or otherwise grant access (other than a “bookmark” from a web browser) to the Services, or any part thereof;
    j. Use the Services or Content in a way that suggests you are a representative of Designature;
    k. Interfere with or disrupt the proper functioning of the Services or Content, Designature or any third party systems used to host the Services, or other equipment or networks used to provide the Services or Content;
    l. Cause damage to Designature’s business, reputation, employees, members, facilities, or to any other person or legal entity.
  4. Any scraping, automated access, or other unauthorized access to, and storage of, Services or Content will result in immediate termination of your access to the Services, Content, and your Account. Use of the Services or Content for any purpose other than what is described in this Section is prohibited.

9. Privacy Policy

  1. Please refer to our Privacy Policy, which describes our practices and policies related to the collection, use, and storage of information about users of the Services. You acknowledge and agree that you are solely responsible for the accuracy and content of your personal information.

10. Changes to Terms

  1. These Terms may be revised or updated from time to time, in our sole discretion. All changes are effective immediately when we post them on the Services, and apply to all access to, and use of, the Services thereafter. Your continued use of the Services following the posting of any revised Terms constitutes your acceptance of the changes. We recommend that you review the Terms from time-to-time for any updates or changes that may impact you. If you do not agree to any revised Terms, you should discontinue your use of the Services.
